Vorausgesetzt, es wird qualifiziertes Betriebsvermögen (BV) in eine Kapitalgesellschaft oder Genossenschaft eingebracht, das deutsche Besteuerungsrecht an diesem BV grundsätz-lich nicht eingeschränkt ist und der Einbringende hierfür neue Anteile an der übernehmenden Gesellschaft erhält, kann eine solche Einbringung grundsätzlich steuerneutral durchgeführt werden.
Eine abschließende Aufzählung der Umwandlungsvorgänge, welche als Einbringung gelten, ist in § 1 Abs. 3 UmwStG enthalten. Danach kann eine Einbringung im Wege der Gesamt-rechtsnachfolge (nach den Vorschriften des UmwG) oder durch Einzelrechtsnachfolge statt-finden. Auf die Einzelrechtsnachfolge wird im Folgenden nicht eingegangen. Zusätzlich gel-ten nach § 1 Abs. 3 UmwStG auch vergleichbare ausländische Vorgänge als Einbringung. Ist ein vergleichbarer Vorgang nicht gegeben, besteht immer noch die Möglichkeit einer Ein-bringung im Wege der Einzelrechtsnachfolge.
Der sechste Teil des UmwStG regelt in § 20 UmwStG die Einbringung von Unternehmens-teilen in eine Kapitalgesellschaft (Sacheinbringung) und in § 21 UmwStG die Einbringung von Kapitalgesellschaftsanteilen (Anteilstausch). Werden die erhaltenen bzw. übertragenen Anteile vom Einbringenden bzw. der übernehmenden Gesellschaft veräußert, kommt es nach § 22 UmwStG zu einer rückwirkenden Besteuerung, sodass de facto die Steuerneutralität ent-fällt. § 23 UmwStG regelt die Auswirkungen einer Einbringung bei der übernehmenden Ge-sellschaft.
Im achten Teil des UmwStG wir der Formwechsel einer Personengesellschaft in eine Kapi-talgesellschaft behandelt. Da § 25 UmwStG lediglich auf die Anwendbarkeit der §§ 20-23 UmwStG verweist, wird auf den Formwechsel nicht näher eingegangen.
Zuerst wird auf die Voraussetzungen einer Sacheinbringung bzw. eines Anteilstausch und die Auswirkungen beim Einbringenden bzw. Aufnehmenden eingegangen. Anschließend wird vertiefend die rückwirkende Besteuerung und deren Wirkungen beim Einbringenden betrach-ten.
